Four lines of work, all delivered under a signed mandate with agreed scope, deliverables and fees. We bill for advisory work. We do not take a percentage of money raised and we do not hold client funds.
The largest part of what we do. A client has a product that works at home and wants it to work somewhere else, usually in the European Union. We take on route to market, partner and supplier selection, site and jurisdiction choice, commercial terms, and the corporate and tax structure the move needs.
The output is practical: a target structure, a shortlist of counterparties with terms tested against each other, and the sequence in which decisions have to be made so that one does not foreclose another. We stay through execution rather than handing over a report.
Finance and governance infrastructure for companies growing faster than their back office. We build the financial model, set up reporting, treasury and payroll, put board reporting on a regular cycle, and keep statutory compliance on schedule.
On two current mandates this extends to a director holding an executive finance role in the client company for an agreed period. Where that happens it is documented separately from the advisory mandate and the remuneration is disclosed.
Getting a client ready to be funded, and supporting them through the negotiation. Financial models that survive a lender's questions, investor materials, data room preparation, and review of supplier, machinery and offtake contracts before they are signed.
The boundary here is firm. We prepare the client and we sit on their side of the table. Placement, arranging and any activity requiring authorisation is carried out by the client's own regulated advisers. GreenWave Sustainable Holdings Limited does not raise capital from the public, does not receive or transmit client funds, and is not authorised by the Central Bank of Ireland.
On some mandates the company subscribes for a minority shareholding in the client. The subscription is made with the company's own capital, documented on separate paper from the advisory agreement, and is not consideration for advisory work.
We take these positions where the mandate runs for years rather than months and where the value we add shows up in the equity. They are held for the company's own account. No third party money is involved and the company does not operate a collective investment scheme or hold assets on behalf of investors.
We hold no client or third party money. We are not a payment institution, an electronic money institution, a money services business, a fund, a fund manager or an investment firm. We give no investment advice, make no personal recommendations, and carry out no activity requiring authorisation from the Central Bank of Ireland. Tax and legal opinions come from the client's own professional advisers.
